2024-03-20 Letter From the President

Dear Members,
When the newly elected board members gave me a chance to lead the Board I vowed to be fully
transparent and notify members of what had happened at meetings and when we were facing challenges.
I did think we were about to have a great summer of recreation and fishing at the lake. Today I received a legal
notice from Roberts-Freeborn PLLC with a “Robert Lee Derivative Demand” giving the board 14 days before
proceeding with a shareholder derivative action to pursue for damages on behalf of the RLCA. I have also
received official notification from the Secretary of States office that the Merger has been rescinded and the
Reflection Water Association remains fully intact.
Mr. Lee named 9 current and former board members to be legally served. The new board members met with Mr. Lee in August 2023 to
listen to his lake complaints, we answered his email requests about further mediation on February 22, 2024
and on March 12, 2024 I sent a reply to Mr. Lee about Roads, Water Association, Bylaws, and Mediation / Merger
complaints that he referred too and asked that he use the bylaws complaint process. All of this is posted are on
reflectionlake.net.  After our legal advisors show us a path forward, I will post the Derivative Document on
our website under legal.
Mr. Lee’s lawsuit was filed in 2020 and mediation took place in 2021. There is not a clear picture given on
exactly what his lawsuit – mediation effort has done to further enhance or help the RLCA as a community, there
is speculation that the desired management changes would increase cost, and does seem to keep the community
in a state of short-term planning.
The RLCA allows anyone to run for a board position with three people elected every year by lot owners, no pay,
no perks, and work whenever You are needed. I prefer a vote of the members on any changes to the structure of
the RLCA and not done by lawsuit, merger, mediation, grand plan by the board or a member. All members pay for
any suit brought against the RLCA. We went 40 plus years without having to use dues or special assessments to pay
for legal suits. A sit-down meeting might solve the issues instead of lawyers.
We have a Bylaws committee, a sometimes Roads committee, an active Board,  a CMD committee, a Community Action
committee, a Budget committee, a Security committee, a Fire Wise committee and an Election committee.

Which one will you volunteer for?

Jim Boothby
RLCA President
